Agreement
These Terms govern access to and use of Omega Industrial Corporation ("Omega") websites and services. By using our site or placing an order, you agree to these Terms. Last updated: 07 Sep 2025.
Quotations, Orders & Pricing
- Quotes are valid for the period stated and may exclude taxes, duties, freight and installation unless specified.
- Orders are subject to acceptance by Omega and receipt of agreed advance payments.
- Prices may change due to changes in scope, specifications or input costs prior to order acceptance.
Delivery, Risk & Installation
- Estimated delivery dates are indicative. Delays due to force majeure or third parties will be communicated.
- Risk passes on dispatch; title passes upon full payment unless otherwise agreed.
- Where applicable, installation, commissioning and training will be coordinated with your team.
Payment Terms
Unless agreed otherwise, payments are staged (advance, before dispatch, after installation). Late payments may attract interest and suspension of services.
Warranty & Calibration
Equipment is warranted against manufacturing defects for the stated period. Warranty excludes consumables, misuse, unauthorised modifications and normal wear. Calibration is traceable to national standards (NABL) where stated.
Support & Maintenance
Omega provides reasonable technical support during the warranty. Extended AMC/CMC may be offered separately.
Compliance & Customer Responsibilities
- Provide accurate specifications, utilities (power, air, water), environment and safety prerequisites.
- Ensure trained operators follow SOPs and local regulations.
- Obtain and maintain regulatory approvals (e.g., BIS licenses) unless otherwise agreed in writing.
Limitation of Liability
To the maximum extent permitted by law, Omega is not liable for indirect, incidental, special or consequential damages, loss of production, profits or data. Omega’s aggregate liability is limited to the amount paid for the equipment/service giving rise to the claim.
Intellectual Property & Confidentiality
Designs, drawings, software, firmware and documentation remain Omega’s intellectual property unless expressly transferred. Parties will keep confidential information confidential.
Force Majeure
Neither party is liable for delays or failures due to causes beyond reasonable control (including natural events, war, sanctions, shortages, strikes, government actions).
Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Courts at New Delhi shall have jurisdiction, subject to any agreed arbitration clause in the purchase order/contract.
Changes to Terms
We may update these Terms periodically. Continued use of our site or services after changes constitutes acceptance.
